WKB Wierciński, Kwieciński, Baehr acted as local Polish counsel to the private equity real estate fund manager Benson Elliot (together with Walton Street Capital and Schroders) on the sale of the five-star Sheraton Warsaw hotel to Patron Capital, a European private equity real estate fund. Paul Hastings (London office) acted as global counsel to the client. WKB was also involved as Polish legal counsel in relation to the initial acquisition of the Sheraton Warsaw by the consortium in 2015.

WKB assisted the client throughout the process, as well as in relation to a significant pre-transactional restructuring (which involved, among other things, two cross-border merger processes of group companies where the acquiring entities were a Polish and a Dutch company, respectively). The transaction closed on 27 March 2019.

Jakub Jędrzejak (partner), Ben Davey (partner), Magdalena Piszewska (senior associate) and Adrian Michalak (senior associate) were the key members of WKB’s M&A team involved in the transaction. In regards to the real estate aspects of the deal the client was assisted by the team led by Anna Wyrzykowska (partner) and supported by Krzysztof Wawrzyniak (senior associate) from the Company Law & Corporate Governance practice, which also advised on the pre-transactional restructuring.
